The total cash consideration will amount to $3.3 billion, excluding WNS net financial debt<a href=\"#_ftn1\" id=\"_ftnref1\">[1]<\/a>.<\/p>\n\n\n\n<p>With this approval, the transaction remains only subject to the receipt of customary regulatory approvals and other conditions. The closing of the transaction is expected to occur by the end of the year.<\/p>\n\n\n\n<p>The final voting results of the meetings of WNS shareholders can be found in a Form 8-K filed by WNS with the U.S. Securities and Exchange Commission.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><a href=\"#_ftnref1\" id=\"_ftn1\">[1]<\/a> Net financial debt of WNS was
