In addition, with Messrs. Xavier Musca and Fr\u00e9d\u00e9ric Oud\u00e9a having indicated their desire to not seek reappointment<a href=\"#_ftn1\" id=\"_ftnref1\">[1]<\/a>, the Board of Directors decided to appoint Mr. Patrick Pouyann\u00e9 as Lead Independent Director, Ms. Ulrica Fearn as Chairwoman of the Audit &amp; Risk Committee and Mr. Kurt Sievers as Chairman of the Compensation Committee.<\/p>\n\n\n\n<p>The Shareholders\u2019 Meeting also approved the appointment of two new directors for a term of four years:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A French national, Ms. V\u00e9ronique Weill is Chairwoman of the Board of Directors of CNP Assurances. She has held numerous roles in the insurance and banking sectors in senior management positions within international companies. She will bring to the Board her financial expertise, her solid experience in corporate governance and CSR, as well as her knowledge of new technology and digital issues in the financial services sector.<\/li>\n\n\n\n<li>A French national, Mr. Luc R\u00e9mont is Chairman of the Board of Directors of Waga Energy. He will bring to the Board his executive management experience in leading international groups in the energy and energy transition sectors, where technology plays a key role. He will also contribute his financial expertise and merger and acquisitions experience, as well as his knowledge of the financial sector.<\/li>\n<\/ul>\n\n\n\n<p>The Board of Directors considers Ms. V\u00e9ronique Weill and Mr. Luc R\u00e9mont to be independent pursuant to the criteria of the AFEP-MEDEF Code to which the Company refers.<\/p>\n\n\n\n<p>At the end of this Shareholders&#8217; Meeting, the Board of Directors of Capgemini SE has 15 directors<a href=\"#_ftn2\" id=\"_ftnref2\">[2]<\/a>, including two directors representing employees and one director representing employee shareholders. Of its members, 83% are independent directors<a href=\"#_ftn3\" id=\"_ftnref3\"><sup>[3]<\/sup><\/a>, 40% are international directors, and 50% are women<sup>3<\/sup>.<\/p>\n\n\n\n<p>It is specified that the provisions of Order 2024-934 enacting the \u201cWomen on Boards\u201d Directive into French law, published on October 15, 2024, will only apply to Capgemini SE from January 1, 2027. Nevertheless, the Company already complies with its provisions. The percentage of women on the Board, when calculated according to the new applicable rules, i.e. including the director representing employee shareholders, would be 46%.<\/p>\n\n\n\n<p>Moreover, the Shareholders\u2019 Meeting approved, by a vast majority, the 2025 compensation components and benefits paid or granted to Paul Hermelin, Chairman of the Board, as well as to Aiman Ezzat, Chief Executive Officer. The report on the compensation of corporate officers and the various 2026 compensation policies for executive corporate officers and directors was also approved.<\/p>\n\n\n\n<p>Finally, the Shareholders\u2019 Meeting approved the renewal and the appointment of a Statutory Auditor responsible for certifying the financial statements and the renewal of a Statutory Auditor responsible for
