appointed by Altran has concluded that the offer price of \u20ac14 per share is fair<\/strong><\/h2>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-altran-s-board-of-directors-issued-a-positive-reasoned-opinion-avis-motive-on-the-tender-offer\"><strong>Altran\u2019s Board of Directors issued a positive reasoned opinion (<em>avis motiv\u00e9<\/em>) on the tender offer<\/strong><\/h2>\n\n\n\n<p><strong>Paris, <\/strong><strong>23 September 2019<\/strong> \u2013 Capgemini (Euronext Paris: CAP) today announced that it has filed the draft offer document with the French financial market authority AMF (<em>Autorit\u00e9 des march\u00e9s financiers<\/em>) relating to its friendly tender offer for all of the shares of Altran Technologies (Euronext Paris: ALT) at a price of \u20ac14 per share, with a view to creating a global digital transformation leader for industrial and tech companies. The proposed acquisition of Altran by Capgemini, which was first <a href=\"https:\/\/www.capgemini.com\/news\/capgemini-and-altran-create-a-global-digital-transformation-leader-for-industrial-and-tech-companies\/\">announced on 24 June 2019<\/a>, will create a group with revenues of \u20ac17 billion<a href=\"#_ftn1\" id=\"_ftnref1\"><sup>[1]<\/sup><\/a> and over 265,000 employees. The new entity will leverage its unique positioning in the particularly promising \u201cIntelligent Industry\u201d segment.<\/p>\n\n\n\n<p>As stated in Altran\u2019s press release dated as of today, the report of the independent expert, Finexsi, appointed by the Board of Directors of Altran, has determined that the offer price is fair from a financial point of view for Altran\u2019s shareholders. After reviewing, <em>inter alia<\/em>, such report, Altran\u2019s Board of Directors, held yesterday, issued a positive reasoned opinion (<em>avis motiv\u00e9<\/em>) and determined that Capgemini\u2019s friendly tender offer at a price of \u20ac14 per share is in the interests of Altran, its shareholders and its employees, and recommended that Altran\u2019s shareholders tender their shares in the tender offer.<\/p>\n\n\n\n<p>The offer price of \u20ac14 per share represents a premium of 30% over Altran\u2019s volume-weighted<a href=\"#_ftn2\" id=\"_ftnref2\"><sup>[2]<\/sup><\/a> average share price in the month preceding the announcement, and a premium of 33% over the three-month average<a href=\"#_ftn3\" id=\"_ftnref3\"><sup>[3]<\/sup><\/a>.<\/p>\n\n\n\n<p>Capgemini\u2019s draft offer document is in particular available on <a href=\"https:\/\/investors.capgemini.com\/en\/\">the Investor Relations section of Capgemini\u2019s website<\/a> and on <a href=\"https:\/\/www.amf-france.org\/en_US\/\">the AMF website<\/a>. The tender offer, as well as the draft offer document, remain subject to review by the AMF which will assess compliance with applicable laws and regulations. In accordance with Article 231-16 of the AMF General Regulation, the key terms of Capgemini\u2019s draft offer document, and the procedures for making it available, are set out below in the section entitled \u201cKey terms of Capgemini\u2019s draft offer document\u201d.<\/p>\n\n\n\n<p>The closing of the tender offer, once open, will be subject to the receipt of the antitrust clearances from the European Commission and Morocco\u2019s competition authority<a href=\"#_ftn4\" id=\"_ftnref4\"><sup>[4]<\/sup><\/a>. Capgemini reserves the right to waive such conditions. As previously announced, completion of the transaction is expected by the end of 2019.<\/p>\n\n\n\n<p>Capgemini\u2019s tender offer is furthermore subject to an acceptance threshold set at 50.10% of the share capital and voting rights of Altran, on a fully diluted basis<a href=\"#_ftn5\" id=\"_ftnref5\">[5]<\/a>.
