Mr. Paul HERMELIN succeeds Mr. Geoff UNWIN as CEO of the CAP GEMINI ERNST & YOUNG Group

The Board of Directors of Cap Gemini S.A., meeting on December 12 in Paris, acknowledged the decision of Mr. Geoff UNWIN not to pursue his professional career beyond age 60 and to retire during the year 2002, in line with a request he had expressed several months ago.
The Board conveyed its warmest thanks to Mr. Geoff Unwin for the invaluable contribution he made to the Group’s development over the last 11 years and in particular for having successfully led the merger of Cap Gemini, Gemini Consulting and Ernst & Young Consulting, as well as for having launched the restructuring measures made necessary by the business slowdown experienced this year.
Upon a proposal by its Chairman, Mr. Serge KAMPF, the Board asked Mr. Geoff Unwin to remain a Director of the Company and appointed Mr. Paul HERMELIN to succeed him as Chief Executive Officer of the Cap Gemini Ernst & Young Group.
Since joining Cap Gemini S.A. in 1993, Mr. Paul Hermelin was notably a member of the Directoire (Management Board) which governed the Group from May 1996 to May 2000 and he is the main initiator of the union which took place last year between Cap Gemini and Ernst & Young Consulting. He will take his new responsibilities next January 1st in addition to those of Chief Operating Officer. He will be responsible for the finalization and execution of the 2002 budgets for which the Board expressed the wish that they focus on restoring growth and operating margin.
The audited financial results for the current fiscal year will be presented to the Board of Directors on February 20, 2002. Mr. Paul Hermelin will then present the operational priorities he intends to implement in order to reach these objectives.
