Cap Gemini SA increases its shareholding in its Dutch subsidiary Cap Gemini NV to 99.8%

On April 28, 2001, Cap Gemini SA has reached an agreement to acquire in cash a block of 2,411,907 ordinary shares of Cap Gemini NV (5.6 % of Cap Gemini NV share capital) at a price of €68 per share. This price is slightly below what would have resulted from the application of the exchange parity used for the 1999 public offer launched by Cap Gemini SA. The closing price of Cap Gemini SA ordinary shares on Euronext Paris on April 27, 2001 was €155.4.

This transaction results in Cap Gemini SA increasing its shareholding in Cap Gemini NV
to 99.8%.

In accordance with Cap Gemini SA's initial intention to control 100% of Cap Gemini NV, as set out in the 1999 public offer document, an application for de-listing the shares of Cap Gemini NV from Euronext Amsterdam will be made. Thereafter, legal proceedings for buying-out the Cap Gemini NV shares held by the remaining minority shareholders will be initiated.
